These terms govern your use of the Stock Africa website and participant platform. Please read them before creating an account. If you do not accept them, do not register or use the platform.
Who you are contracting with
Stock Africa Proprietary Limited, company number BW00004989643, of Plot 28562, Unit G26, Acceler8, Samora Machel Road, Fairgrounds Mall, Gaborone, Botswana (“Stock Africa”, “we”). You can reach us at orders@stock.africa, marked “Terms enquiry”.
What the platform is, and what it is not
Stock Africa is a private participant platform for planning and recording trade in agriculture, medical supplies and fuel. It lets buyers describe requirements, suppliers and other participants respond, and the parties record the agreement, delivery and evidence of an order.
Stock Africa is not a party to any trade you agree through the platform. We are not your broker, agent, adviser or guarantor. We do not buy or sell the goods, hold or transfer funds, operate an escrow, issue credit, verify product quality, inspect goods, or guarantee that any participant will perform. Payment records in the platform are reports made by the parties about payments they arranged elsewhere; recording one does not move money.
The platform is operated as a pilot. Features may change, be limited or be withdrawn, and availability is not guaranteed.
Who may hold an account
You must be at least 18 years old and legally able to enter contracts. If you register for a business, you confirm you are authorised to act for it and to accept these terms on its behalf. One account belongs to one person: do not share your credentials or let anyone else use your account.
The information you give at registration and in your profile must be accurate and kept up to date. Registering records what you have stated; it does not verify it.
Admission and approval
Creating an account starts an application. Trading features open only after Stock Africa approves the account, and approval is at our discretion. We may decline, pause, suspend or withdraw access, including where information is inaccurate, where verification is incomplete, where conduct breaches these terms, or where we must do so to meet a legal obligation.
Approval is an admission decision for this platform. It is not an endorsement, certification or recommendation of any participant, and it does not certify identity, product approval, transport eligibility or financial authorisation.
Verification
Verification is a separate, reviewed step. Where you submit identity, authority, ownership or other evidence, authorised reviewers assess it and record the outcome, its scope and any expiry. A verified scope applies only to what was checked, for the period stated. You must tell us promptly if verified information changes.
Your account security
Keep your password confidential and enable the second-factor protection offered in Account security where it applies to you. You are responsible for activity carried out through your account. Tell us immediately, using the contact form, if you believe your account has been accessed without your permission.
What you publish, and who sees it
A draft requirement is private to you. When you choose to request offers, its specification, quantity, destination area, timing and quality requirements become visible to signed-in participants in that sector. Proposals and their commercial terms are visible to their author and to the buyer. Ordering, delivery and evidence records are visible to the parties to that order and to authorised reviewers; an assigned driver sees only the shipment information needed for the delivery.
You keep ownership of what you submit. You grant Stock Africa the permission needed to host, display and process it in order to operate the platform and the features you use. You must have the right to submit it.
How you must use the platform
You must use Stock Africa lawfully and honestly. In particular you must not:
- describe goods, quantities, specifications, certifications or capacity inaccurately;
- trade goods you are not lawfully entitled to trade, or breach any applicable sanctions, export, import, licensing, health or safety requirement, including those specific to medical supplies and fuel;
- upload another person’s identity documents, patient records, bank records or photographs without a lawful basis and their permission;
- attempt to access records belonging to other participants, probe or interfere with the platform’s security, or automate access in a way that degrades the service;
- use the platform to launder money, finance terrorism, evade sanctions or commit fraud.
You remain responsible for your own regulatory obligations. Registering does not make every participant subject to the same rules, and we do not assess them for you.
Agreements between participants
Any contract for goods, transport, finance or services formed through the platform is between the participants themselves, on the terms they record. The parties are responsible for their own diligence, pricing, contracting, inspection, insurance, customs, settlement and dispute resolution. The platform’s records are evidence of what was entered and when; they do not replace the parties’ own contract or professional advice.
Fees
Access to the pilot is provided without a platform fee unless we agree otherwise with you in writing. Any commission, introduction fee or other charge between participants — including a connector introduction — is a matter for those participants and must be agreed between them. We will give reasonable notice before introducing any platform fee.
Availability, changes and suspension
We may change, suspend or discontinue any part of the platform, and we may carry out maintenance that interrupts access. We will try to limit disruption but cannot guarantee uninterrupted or error-free operation. You may stop using the platform at any time. To close your account, contact us: we will withdraw its access. Because trade, order, verification and audit records must be kept for legal, accounting and dispute reasons, closing an account withdraws access rather than erasing its history. Requests to access, correct or delete personal information are handled by our team as described in the Privacy Statement, subject to those obligations.
Responsibility and limits
Nothing in these terms excludes liability that cannot lawfully be excluded, including for fraud or for death or personal injury caused by negligence.
Subject to that, Stock Africa provides the platform as it stands, and we are not responsible for the acts, omissions, solvency or performance of any participant, for the condition, quality, legality or delivery of any goods, or for any agreement you reach with another participant. We are not liable for loss of profit, loss of business, loss of contracts or anticipated savings, or for indirect or consequential loss. Our total liability to you arising out of or in connection with the platform is limited to fees you have paid us for it in the twelve months before the claim, or 5,000 Pula where no fees have been paid.
You are responsible for the accuracy of what you publish, and you will be responsible to us for losses we suffer because you breached these terms or applicable law.
Privacy
How we handle personal information is described in the Privacy Statement, which forms part of these terms.
Changes to these terms
We may update these terms as the platform develops. We will publish the updated version here with a new date, and where a change materially affects you we will give reasonable notice. Continuing to use the platform after a change takes effect means you accept the updated terms.
Governing law
These terms, and any dispute arising out of or in connection with them, are governed by the laws of Botswana. The courts of Botswana have jurisdiction, and you and Stock Africa agree to attempt to resolve a dispute in good faith before starting proceedings.
